Terms of Use

## 1) Acceptance
By purchasing, downloading, accessing, or using any Ramart Systems product or service, customer agrees to these Terms.

## 2) Definitions
- **Product:** software, templates, data packs, APIs, or digital deliverables sold by Ramart Systems.- **Service:** support, managed hosting, setup, customization, maintenance, or consulting.- **Customer:** individual or legal entity purchasing from Ramart Systems directly or via marketplace.
## 3) Commercial models
### A) Ownership model
- One-time payment (example: USD 3,000 where listed)- Includes license rights as specified in product license- Optional paid support/maintenance may be purchased separately
### B) Subscription/SaaS model
- Recurring monthly fee as listed on checkout/listing- Minimum term may apply (example: 12 months where listed)- Introductory month/free trial terms apply only if explicitly stated in order
## 4) License and permitted use
Customer receives a non-exclusive, non-transferable license to use the Product as described in the product listing/license file.
Unless explicitly granted, customer may not:
- Resell or redistribute source/package as a competing product- Sublicense product rights to third parties- Remove proprietary notices or misrepresent authorship
## 5) Delivery
- Digital products are delivered electronically (download link, repository access, or package transfer)- Delivery is considered completed when access is provided to customer account/email/marketplace channel
## 6) Support and service scope
Support scope follows applicable support plan/datasheet. Customization and implementation are billable unless included in written order/SOW.
## 7) Fees, taxes, and billing
- Prices are listed in stated currency- Taxes/VAT are added where legally required- Subscription fees bill per cycle unless canceled per contract terms
## 8) Refunds and cancellations
Because products are digital and immediately accessible, refunds are generally limited unless required by law or explicitly offered in listing/order terms.
For subscription plans:
- Cancellation stops future renewals- Minimum term commitments remain payable for contracted period unless otherwise agreed in writing
## 9) Customer obligations
Customer must:
- Provide accurate purchase and account information- Maintain confidentiality of access credentials- Use products lawfully and per documentation- Keep backups and environment controls where customer-hosted
## 10) Intellectual property
All intellectual property rights remain with Ramart Systems unless explicitly assigned in writing.
## 11) Warranties disclaimer
Products/services are provided "as is" and "as available" to the maximum extent permitted by law. No implied warranties of merchantability/fitness/non-infringement are granted unless mandated by law.
## 12) Limitation of liability
To the maximum extent permitted by law, Ramart Systems is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits/data/business interruption.
Total direct liability is limited to the amount paid by customer for the specific product/service giving rise to claim during the preceding 12 months.
## 13) Indemnity
Customer agrees to indemnify Ramart Systems against claims arising from customer misuse, unlawful use, or breach of these Terms.
## 14) Suspension/termination
Ramart Systems may suspend or terminate access for material breach, fraud, abuse, or non-payment, subject to applicable law and contractual process.
## 15) Governing law and disputes
These Terms are governed by the laws of Finland, without regard to conflict-of-law rules. Venue: Helsingin Käräjäoikeus, Finland (Court of Helsinki, Finland).
## 16) Changes to terms
Ramart Systems may update these Terms. New versions apply from effective date; material changes are communicated through reasonable channels.
